Billiam, LLC · Minnesota, United States
Terms and conditions
Effective October 29, 2026
These terms cover use of billiam.co and the general software development, consulting, maintenance, and related technology services offered by Billiam, LLC, a Minnesota company ("Billiam," "we," or "us"). By using the website or ordering services, you agree to the terms applicable to that use or order. If you act for an organization, you must have authority to do so.
Project agreements come first
A signed agreement, accepted proposal, statement of work, or other written service agreement defines the scope, deliverables, schedule, fees, and responsibilities for a project. If it conflicts with these general terms, the project agreement controls. Visiting the website or sending an inquiry does not create a paid engagement or commit either party to a project.
Services and collaboration
We provide the services described in the applicable agreement. Estimates and target dates depend on agreed assumptions, timely feedback, access to systems, and third-party availability. Changes to scope, budget, or schedule should be agreed in writing before the additional work proceeds.
You are responsible for the accuracy of information you provide, obtaining permission to share client data and materials, reviewing deliverables, and decisions about how software is used in your business. Access to production systems, deployment, ongoing monitoring, support, backups, and maintenance should be defined in the project agreement; a development engagement does not by itself include indefinite operational support.
Fees, payments, and subscriptions
Prices, currency, payment timing, and applicable taxes are stated in the proposal, invoice, or checkout. Payment processors may apply their own terms. We do not start a recurring subscription merely because you contact us; any recurring service must identify its charges and renewal or cancellation terms when you order it.
If a payment is overdue, we may pause affected work after notice and a reasonable opportunity to resolve the issue, subject to the project agreement and applicable law. Contact kevin@billiam.co promptly if an invoice appears incorrect.
Cancellation and refunds
Contact us by email to request cancellation, rescheduling, or a refund. The project agreement or terms disclosed when you order govern any notice period, deposit, committed costs, and refund calculation. Unless otherwise agreed and to the extent permitted by law, you remain responsible for work already performed and for approved, non-cancellable third-party costs; prepaid fees for work not performed are refundable after accounting for those amounts. We do not guarantee a refund for completed work solely because a business outcome differs from expectations. Mandatory consumer rights remain unaffected.
Ownership and licenses
You retain ownership of materials and data you supply and authorize us to use them as needed to perform the services. Ownership or licensing of project deliverables, source code, designs, and other work is determined by the project agreement. Sending an inquiry or making a payment does not, by itself, transfer rights beyond those agreed in writing.
Billiam retains rights in its pre-existing tools and materials unless otherwise agreed. Open-source components, third-party software, fonts, media, and services remain subject to their own licenses. You may read and link to our public website; other reuse of our original website content requires permission or an applicable legal exception.
Confidentiality and personal information
Each party should protect non-public project and business information received from the other and use it only for the engagement, sharing it with people and providers who need it for that purpose or as required by law. Project agreements may impose more specific confidentiality or data-processing obligations. Publicly available information and information lawfully obtained independently are excluded.
Our privacy policy explains how we handle personal information. Do not provide regulated or highly sensitive data without first agreeing on appropriate handling and security requirements.
Acceptable use and communications
Do not use our website or services unlawfully, infringe others' rights, send spam or malicious content, interfere with systems, or attempt unauthorized access. Protect your account credentials and notify us if you suspect misuse. We may restrict access when reasonably necessary to address abuse, security risks, or legal requirements.
We may communicate about an inquiry or engagement by email or another channel you use with us, including WhatsApp. Optional marketing communications can be declined or stopped as described in our privacy policy. Carrier or platform charges and third-party service terms may apply.
Third-party services and automated tools
Projects may depend on hosting platforms, APIs, payment processors, messaging services, open-source software, or AI-assisted tools. Their availability, prices, policies, and outputs may change. Automated outputs can be inaccurate and require review appropriate to their use. Any responsibility for managing third-party accounts, costs, or integrations should be specified in the project agreement.
Warranties and liability
Any project-specific warranty or service commitment is set out in the project agreement. General website information is provided as available, without a guarantee that it is complete, error-free, or suitable for a particular purpose. We do not guarantee a particular revenue result, business outcome, uninterrupted third-party service, or complete freedom from security incidents.
To the extent permitted by law and unless the project agreement states otherwise, neither party is liable under these general terms for indirect, consequential, special, or punitive damages arising from website use or the services. Nothing in these terms excludes liability that cannot lawfully be excluded, excuses fraud or intentional misconduct, or limits rights that applicable law does not allow us to waive.
Ending an engagement
Termination, handover, access removal, and post-project assistance follow the project agreement. When an engagement ends, amounts properly due remain payable and ownership, confidentiality, and other provisions intended to continue remain in effect. Contact us to coordinate return or deletion of materials, subject to legal retention requirements.
Governing law and changes
Unless a project agreement states otherwise, these terms are governed by Minnesota law, without its conflict-of-law rules, subject to any mandatory protections that apply to you. Contact us first to try to resolve a concern. These terms do not impose mandatory arbitration or waive rights that cannot lawfully be waived.
We may update these general terms for future use and engagements, with the current effective date shown above. Updates do not retroactively change an existing signed project agreement without the parties' agreement.
